The present invention is directed to a process of preparing a cyanato group containing phenolic resin by reacting the corre- sponding phenolic resin with a tertiary amine in a water immiscible, non- hydrogen bonding solvent at a temperature of preferably less than about 25°C to form the corresponding ammonium salt of the phenolic resin; and reacting the ammonium salt with a cyanogen halide at a temperature equal to or less than about 0°C in said solvent to form the cyanato containing phenolic. resin.
