A process for producing a graft copolymer comprising melt-blending: (A) 1 to 90 parts by weight of an ethylene copolymer comprising (a) 40 to 99.9% by weight of ethylene units, (b) 0 to 60% by weight of unsaturated carboxylic acid alkyl ester units, and (c) 0.1 to 10% by weight of maleic anhydride units; (B) 0.1 to 10 moles of a lactam metal salt compound per mole of maleic anhydride units; and (c) 10 to 99 parts by weight of a lactam compound.
