ABSTRACT In accordance with the present invention, there are provided an adhesive resin composition comprising (A) 95-50% by weight of an ethylene/.alpha.-olefin copolymer having a density of 0.850-0.900 g/cm3 and an ethylene content of 75-95 mol%, (B) 5-50% by weight of a copolymer of ethylene and a radical polymerizable polar unsaturated monomer, the copolymer having a radical polymerizable polar unsaturated monomer content of 5-40% by weight, and (C) 1.0-30 parts by weight, based on 100 parts by weight of the sum of above-mentioned (A) and (B), of a graft-modified polyethylene, a part or whole of the polyethylene being graft- modified with an unsaturated carboxylic acid or its derivative, and a laminate using this adhesive resin composition.
