ABSTRACT The composite vibration-damping material exhibiting satisfactory damping performance over a broad range of temperatures has a resin layer interposed between two metal sheets, said resin layer containing as two main components a thermoplastic resin having crosslinkable functional groups and a crosslinking agent for said thermoplastic resin, said resin layer being composed of the layer of resin A having a relatively high glass transition point and the layer of resin B having a relatively low glass transition point, the layers of said resins A and B being bound together via the layer of resin C that is formed by the crosslinking of those two resin layers. This composite vibration-damping material may be produced by a process that comprises preparing solutions of yet to be crosslinked resin compositions (A) and (B), applying said solutions onto different metal sheets, removing the solvent, and bonding the coated surfaces of the two metal sheets together by heating while the degree of crosslinking reaction of each resin composition is within the range of 0 - 50%. Advantageously, the crosslinkable thermoplastic resin is a saturated polyester and the crosslinking agent is a polyisocyanate compound.
