A fishing rod holder assembly that is attached to a boat foundation, the assembly comprising a U-shaped boat bracket that can be mounted to the rails of a boat, a U-shaped swivel bracket pivotally mounted on the boat bracket, a rod holder tube pivotally mounted to the U-shaped swivel bracket, and a rod holder that is slidably positionable within the rod holder tube, for receiving a fishing rod handle, and a means for readily securing and releasing the fishing rod handle from the fishing rod holder. The swivel bracket and the rod holder members of the assembly can be rotated through circular planes and in perpendicular relationships relative to each other to present a wide variety of trolling positions. Additionally, the rod holder may be used individually whereupon a fishing rod handle is inserted and secured within the rod holder. The rod holder can then be inserted and angularly positioned into a ground surface of a shoreline or shoreline embankment.
