A liquid crystal display which exhibits an excellent display quality with satisfactory contrast because most of the spacers are provided under a black matrix and, even if light leaks because of the spacers, the display is not influenced by the leak. The liquid crystal display is composed of two substrates facing each other with spacers therebetween and liquid crystal provided in the space between the two substrates and is charcterized in that at least one of the two substrates has a black matrix formed thereon, at least one of the two substrates has a plurality of transparent electrodes arranged thereon, and more than 50 % of all the spacers are arranged directly under the black matrix position along the transparent electrodes.
