There is provided a process for preparing a novel polyol resin which contains substantially no epoxy group by subjecting a bisphenol type epoxy resin (a) having epoxy groups and secondary or tertiary hydroxyl groups to the following steps: i) the step wherein epoxy groups are reacted with a compound having one active hydrogen in its molecule (c), and (ii) the step wherein secondary or tertiary hydroxyl groups are at least partly esterified. The resulting polyol resin is flexible, crosslinkable and stable and is useful as a polyol component of a polyurethane paint.
