There is provided a resin composition comprising: (A) from 1 to 99% by weight of a copolymer, which comprises an ethylene unit and an .alpha. -olefin unit of 3 to 12 carbon atoms, and satisfies the specific requirements (A-1) to (A-4), and (B) from 99 to 1% by weight of a copolymer, which comprises an ethylene unit and a unit of a compound having a carbon-carbon double bond and an oxygen atom, and satisfies the specific requirements (B-1) and (B-2).
